If the Slots Option has not been exercised, the Investor shall have a one-time option, exercisable by written notice to the Company at any time during the thirty (30) day period commencing upon either the Effective Date or the date of termination of the Investment Agreement (unless such termination is pursuant to Section 9.01(c) or (d) thereof), to purchase the Owned Aircraft and to assume the leases of the Leased Aircraft under the terms of this Exhibit B.
US Airways shall have exercised and consummated the Slots Option and the purchase of the Owned Aircraft under the Republic Aircraft Transaction shall have been consummated.
If the Company and/or US Airways exercises and completes the Slots Option, the Investor shall complete the Republic Aircraft Transaction (subject to the applicable conditions thereto and to the terms and conditions of Exhibit B).

Airways has exercised the Slots Option pursuant to a notice dated June 23, 2005, given pursuant to the Investment Agreement.
The closing on the Slots Option (the “Closing”) shall be in accordance with the terms and conditions of this Agreement.
Republic and Airways desire to enter into this Agreement, as contemplated by Exhibit A-1 to the Investment Agreement, in order to reflect the rights and obligations of the parties with respect to the Slots Option.
