  • The execution, delivery and performance by Sky Chefs of this Agreement and the Related Agreements to which it is a party have been duly authorized by all requisite corporate action.

  • As the full Court observed in Prasad v LSG Sky Chefs New Zealand Ltd:2[18] We are not drawn to this [strict contractual offer, acceptance, consideration analysis] aspect of the defendant’s argument.

  • On or after the date hereof, CII and Sky Chefs hereby agree to promptly execute, acknowledge and deliver any other assurances, instruments, agreements, certificates or other documents and take any other action reasonably requested by the other party hereto to effect the transactions contemplated hereby.

  • Upon the consummation of the transactions contemplated by this Agreement and the Related Agreements and the payment of the Purchase Price by Sky Chefs to CII, Sky Chefs shall acquire good and valid title to all of the Acquired Assets, free and clear of all restrictions on transfer.

Related to Sky Chefs

  • Harbour Master means the ABP Harbour Master or Dock Master for the Port (as appropriate) or their authorised representative;
