EarthLink and SKTI acknowledge that the list of Restricted Services is complete as of the date first above written.
Notwithstanding the foregoing, SKTI may assign its rights and obligations under this Agreement to a direct or indirect wholly-owned Subsidiary of SKT.
If there is a Change of Control, the Operating Company has no obligation to make a disposition of any of its properties or to take any other action to eliminate any resulting product or service overlaps with SKTI or EarthLink, as the case may be, or regulatory conflicts.

The covenants and agreements of SKT and SKTI to be performed or complied with on or prior to the Closing shall have been duly performed or complied with, as the case may be, in all material respects, and EarthLink shall have received a certificate to such effect dated the Closing Date and executed by duly authorized officers of SKT and SKTI.
No investigation or review by any Governmental Entity with respect to SKT, SKTI or any of their respective Subsidiaries is pending or, to the Knowledge of SKT or SKTI, threatened, nor has any Governmental Entity indicated an intention to conduct the same, except for those the outcome of which have not had and would not, individually or in the aggregate, be reasonably likely to have a Material Adverse Effect on SKT, SKTI, Operating Company or Management Company.
None of SKT, SKTI or their respective Subsidiaries nor any of their respective officers, directors or employees has employed any broker or finder, except for ▇▇▇▇▇▇ Brothers, or incurred any liability for any brokerage fees, commissions or finders’ fees in connection with the transactions contemplated in this Agreement or any Ancillary Agreement, except for fees payable to ▇▇▇▇▇▇ Brothers.
Each of SKTI and EarthLink shall use its reasonable best efforts to make available to the Operating Company and its Subsidiaries the benefits of its agreements with vendors on terms no less favorable than those generally available to it or its Affiliates.
