Each of the representations and warranties of Skibo in this Agreement which is qualified as to materiality shall ▇▇ ▇rue and correct, and each such representation or warranty that is not so qualified shall be true and correct in all material respects, in each case as of the date of this Agreement, and (except to the extent such representations and warranties speak as of an earlier date) as of the Closing Date.
