  • The arbitration shall be conducted by one arbitrator mutually agreed upon by iXL and Siteman, under the JAMS Arbitration Rules and Procedures in effect on the Effective Date of the Agreement, except that the parties shall have any right to discovery as would be permitted under the Federal Rules of Civil Procedure for a period of ninety days following the selection of the arbitrator, and the arbitrator shall resolve any dispute which arises in connection with such discovery.

  • Siteman shall also not have any obligation with respect to a claim if it has provided iXL with changes that would have avoided the problem and the changes are not fully implemented.

  • The preceding exclusions do not in any way affect iXL's liability and indemnification obligations in connection with the assets acquired by Siteman in the Asset Purchase Agreement.
