Site Designation means, with respect to any Portfolio Site, the designation of such Portfolio Site into one or more of the following categories of Sites: (i) a Lease Site, (ii) a Pre-Lease Site, (iii) a Non-Contributable Site, (iv) an Assignable Site, (v) a Non-Assignable Site, (vi) a CA/NV Site, (vii) an Excluded Site, (viii) a Special Zoning Site, (ix) a Casualty Site, (x) a Damaged Site, (xi) a Shared Site, (xii) a Non-Compliant Site subject to a Material Site Non-Compliance Issue, (xiii) a Non-Compliant Site subject to a Material Site Title Issue, (xiv) a Portfolio Site that is governed by a Multiple Site Ground Lease, (xv) a Portfolio Site that is subject to Transaction Revenue Sharing Payments or (xvi) a Portfolio Site at which space is occupied by a Tower Subtenant under a Master Collocation Agreement. Sites can have more than one designation (such as a CA/NV Site that is a Non-Assignable Site), as applicable.

The sole and exclusive rights and remedies of the Parties with respect to adjustments to Consideration, payment of the aggregate Net Amount, and matters relating to Site Designation are set forth in this Article IV, and except as expressly provided otherwise in this Section 4.5 with respect to the calculation and the payment of the aggregate Net Amount, the Parties shall have no other rights or remedies with respect to such matters after the Final Subsequent Closing.

The Closing Site Designation List for each Closing will be modified by any elections made by Commnet in accordance with this Section 4.3(a).
Any Portfolio Site subject to a bona fide Site Designation Dispute will be deemed a Managed Site until such Site Designation Dispute is resolved in accordance with this Section 4.6.

Site Designation means, with respect to any Portfolio Site, the designation of such Portfolio Site into one or more of the following categories of Portfolio Sites: (a) an Assignable Site, a Managed Site (a.k.a. a Non-Assignable Site), or an Excluded Site; (b) if a Managed Site, a reference to the specific provision of this Agreement (including the applicable Managed Site Condition(s)) pursuant to which such Portfolio Site has been designated as a Managed Site; and (c) if an Excluded Site, a reference to the specific provision of this Agreement pursuant to which such Portfolio Site has been designated as an Excluded Site. “SLA” means, as to any Sale Site, a site lease agreement, which is a supplement to the SM Ground Space Lease, in substantially the form attached to the SM Ground Space Lease.

Site Designation means, with respect to any Portfolio Site, the designation of such Portfolio Site into one or more of the following categories of Portfolio Sites: (i) an Assignable Site; (ii) a Managed Site; (iii) a Deferred Site; (iv) an Exception Site; and (v) an Excluded Site; and, in each case, where applicable, a reference to the specific provision of this Agreement (including the Exception Site Conditions) pursuant to which such Portfolio Site has been designated under such Site Designation. For the avoidance of doubt: (A) a Portfolio Site may have more than one designation; and (B) a Portfolio Site that is a Managed Site or a Deferred Site is also an Exception Site.
