Sister Entity definition

Sister Entity means any Person, directly or indirectly (through one or more subsidiaries), under common control with ▇▇▇▇▇’▇ Roadhouse, Inc., but in all events excluding (a) any Person, directly or indirectly, controlling ▇▇▇▇▇’▇ Roadhouse, Inc. or (b) any Person, directly or indirectly, controlled by ▇▇▇▇▇’▇ Roadhouse, Inc. For the purposes of this definition, the term “control” (including the correlative meanings of the terms “controlling”, “controlled by” and “under common control with”), as used with respect to any Person, shall mean the possession, directly or indirectly, of the power to direct or cause the direction of the management policies of such Person, whether through the ownership of voting securities or by contract or otherwise.

  • The indemnification and other rights of any Covered Person under this Section 4.2 shall not apply with respect to services performed by or for any Member or its Affiliate that is the counterparty to any agreement, including the Servicing Agreement, entered into with any Company Sister Entity.
