Notwithstanding anything to the contrary herein, if the Company has breached the terms of this Agreement in any material respect and, after written notice of such breach by the Singh Parties and a thirty (30)-day opportunity to cure such breach, such breach remains uncured, this Section 3 shall be of no further force or effect.
Partially or fully to fund the payments of the ------------------ purchase price of Shares to be bought by the Company under Article 9 in the event of the death of Singh, the Company may, if so directed by the Board of Directors, apply for, acquire and maintain in full force and effect a policy of life insurance in an amount sufficient to pay all or part of the purchase price of such Shares in the event the Company exercises its option to purchase such Shares pursuant to Article 9.
Such option shall be exercisable by the Company during the sixty (60) day period following the Employment Termination Date, and must be exercised, if at all, by giving written notice of exercise to Singh or the Article 9 Shareholder's Successor prior to the expiration of said sixty (60) day period.
