Signode Acquisition definition

Signode Acquisition means the acquisition by Crown Holdings and/or one or more of its subsidiaries of Signode Industrial Group Holdings (Bermuda) Ltd., pursuant to the Signode Acquisition Agreement.
Signode Acquisition means the acquisition of Signode by Parent pursuant to that certain Agreement and Plan of Merger, dated as of December 19, 2017, as amended, amended and restated or otherwise modified from time to time.

  • Since December 19, 2017 there has not occurred any Company Material Adverse Effect (as defined in the Signode Acquisition Agreement).

  • Accrued amounts under the Ticking Fee shall be due and payable in cash on the earlier of (a) the Incremental Amendment No. 1 Effective Date and (b) the time at which the Signode Acquisition Agreement has been irrevocably terminated.
