The Parties acknowledge and agree that if there is any conflict between the terms and conditions of this Agreement and the terms and conditions of any Signed Quote or Purchase Order, the terms and conditions of the Signed Quote or Purchase Order supersedes and controls.
Notice to Client: Client’s address on the Signed Quote or Purchase Order Notice to ACS: Associated Computer Systems, Ltd.
The following capitalized terms have the respective definitions set forth below when used in this MSA, in any Signed Quote and/or Purchase Order (defined below), in its respective schedules, and in any attached exhibit, unless expressly otherwise defined in this Agreement or any attachment (i.e., any exhibit or schedule), in which case the definition elsewhere in this Agreement or in the attachment controls.
Each Signed Quote and/or Purchase Order will describe the services to be performed, any hardware, software, or other identifiable work product to be delivered by ACS, the travel fees and reimbursable expenses, if any, the fixed price or hourly rate for the Services, and any other terms that apply to that specific Signed Quote and/or Purchase Order (“Special Terms”).
ACS’ liability under this MSA is limited to the actual direct damages incurred by Client for that specific Signed Quote and/or Purchase Order.
Each individual delivery of hardware or performance of services under this MSA will be initiated by a Signed Quote and/or Purchase Order.
Except for the Special Terms in the Signed Quote and/or Purchase Order, this MSA will take precedence in the event of a conflict between the terms of this MSA and a Signed Quote and/or Purchase Order.
Each Signed Quote and/or Purchase Order shall be governed by the terms of this MSA.
There is no cumulative liability and in no event shall ACS’ liability exceed the amount paid to ACS by Client for that specific Signed Quote and/or Purchase Order.
Unless otherwise specified in a Signed Quote and/or Purchase Order, ACS will ▇▇▇▇ Client semi-monthly for fees and costs, including hourly or other time-based fees for services, flat-fees for services, licenses, materials, travel, and expenses.
