  • Confidential Information shall be defined as any and all non-public information regarding the Company's products, including, but not limited to, that information regarding the Random Ejection Shuffler, the Fantasy 21 table game and the Safety Peek playing card, and any other non-public information provided by the Company and/or Purchasers to Assignors in conjunction with this Agreement.

  • The term "Initial Products" means the following products: the "Random Ejection Shuffler" (including future improvements thereto and variations thereof), the "Safety Peek Cards" and the table-game version of "Fantasy 21" (but not any computer, home version or other variation thereof).

  • Further, and without limiting the generality of the foregoing, Seller agrees that Seller shall not challenge the validity or enforceability of any of the Shuffler and DeckChecker Intellectual Property in any action or proceeding arising out of or relating to this Agreement, including, without limitation, any such action or proceeding which seeks an injunction or specific performance.

  • Seller hereby designates Buyer as Seller’s attorney in fact and law for the purposes of executing any Instruments of Conveyance relating to any Shuffler and DeckChecker Intellectual Property which are not timely (but no later than 30 days from Seller’s receipt) executed by Seller.

  • Neither Seller nor any of its Affiliates is subject to or bound by any outstanding orders, judgments or decrees of any court or governmental entity with respect to any of the Acquired Assets or any of the Shuffler and DeckChecker Intellectual Property.

  • MANUFACTURER hereby appoints DISTRIBUTOR, upon the terms and conditions of this Agreement as an exclusive distributors of it's Casino Card Shuffler Equipment Product line.

  • The Promissory Note shall be dated and interest shall begin to accrue on even date with the approval of the sale of the Random Ejection Shuffler by the Board.

  • Neither Seller’s current litigation with (i) Purton or (ii) ▇▇▇▇▇▇▇ challenge Seller’s ownership of the Acquired Assets or the validity or enforceability of nor seek rescission or return of any Products or Shuffler and DeckChecker Intellectual Property from Seller.
