Showpad definition

Showpad means one the following: (i) Showpad, Inc. with offices in Chicago, IL, US (for customers located in North America, South America, Australia, or New Zealand); or (ii) Showpad NV with offices in Ghent, Belgium (for customers located anywhere else in the world).
Showpad s Purchase Manager" means the Showpad employee, representative, agent or independent contractor designated by Showpad as the point of contact for the applicable purchase.

Examples of Showpad in a sentence

  • In the event of any catastrophic event that prevents Showpad’s performance of the Hosting Services, Showpad will execute the disaster recovery plan without any additional charge to Customer.

  • Customer's procurement is not contingent on the delivery of any future functionality or features, or dependent on any oral or written public comments made by Showpad regarding future functionality or features.

  • Showpad further warrants that Showpad will perform Professional Services in a professional and workmanlike manner.

  • The Showpad software will be available at least 99.9% of the time, as measured on a calendar month basis by Showpad, subject to the exclusions set forth below and also excluding planned downtime and any time necessary to implement Upgrades (“Uptime Guarantee”).

  • Any notice given under the Agreement must be in writing and delivered by email to the following addresses (or alternative addresses provided in writing by each Party): ▇▇▇▇▇.▇▇▇▇▇▇▇▇▇▇▇▇▇@▇▇▇▇▇▇▇.▇▇▇ (to Showpad); the primary billing email address set forth in the Sales Order (to Customer).

  • If Customer learns of any violation of the above restriction, Customer will use reasonable efforts to promptly notify Showpad of such violation.

  • Notwithstanding the foregoing, Showpad shall have no obligation to resolve any inaccessibility or deviation caused by (a) modification of the Licensed Product by anyone other than Showpad, (b) use of the Licensed Product for any purpose other than intended, (c) misuse or incorrect use of the Licensed Product, (d) malfunction of any Device or Customer hardware, (e) inaccessibility or malfunctioning of any telecommunications services, or (f) any other cause not under the responsibility of Showpad.

  • Customer must notify Showpad of a claim under this warranty within 30 days of the date on which the condition giving rise to the claim first appears.

  • Showpad retains all right, title, and interest in and to the Products and Services and all related intellectual property rights, including without limitation any modifications, updates, customizations, apps, or other add-ons.

  • To the maximum extent permitted by law and except for the express warranties in this section, Showpad provides the Products and Services on an "as-is" basis.
