Should S. A wish to contribute its own independent proprietary technology for use in any deliverable of S-A as set forth in a given Statement of Work, S-A shall first inform WorldGate of its intention and the licensing terms, if any, for such technology. The written approval by both parties, each acting in its sole discretion, is necessary before such contributed proprietary technology shall be used for or incorporated in such deliverable. Proprietary technology contributed by S-A must be identified as such within two (2) months of undertaking any Statement of Work which incorporates such proprietary technology.
