Examples of Shortfall Termination in a sentence

  • Manager shall have the right to cure any shortfall of NOI that triggers a Shortfall Termination Option by paying Tenant the amount by which the Termination Threshold exceeded the NOI for such Fee Year, provided that (i) Manager cures such a shortfall within ten (10) days of receiving written notice of Tenant’s exercise of the Shortfall Termination Option, and (ii) Manager has not cured a shortfall of NOI more than three (3) times during the Term.

  • Reimbursements of Subordinated Investor Charge-Offs will not be made in amounts in excess of the aggregate amount of Subordinated Investor Charge-Offs.

  • For avoidance of doubt, Shortfall Termination Qualifying Years from (i) and (ii) above may be combined to form a qualifying sequence to satisfy (a) or (b) above.
