All of the Common Stock of Parent to be issued in connection with the transactions contemplated by this Agreement, including shares of Parent’s Common Stock to be issued in connection with (i) Closing, (ii) the Shortfall Guarantee, and (iii) the Promissory Note, or otherwise, have been duly authorized and will be validly issued, fully paid, and nonassessable.
