Shoot Date. December 20, 2022 Distribution Date: January 3, 2023 This document represents a Contract between A−1 Broadcast, Inc. (<A−1B=), and Orlando/Orange County Convention & Visitors Bureau, Inc. d/b/a Visit Orlando (<Company= or <Client= or <Visit Orlando=) for the services listed: Title: Visit Orlando This Winter Total: $17,125 A−1 Broadcast, Inc. will provide the services described herein for the price of $17,125. All modifications to this must be in writing and signed by an authorized agent of the Client and A−1 Broadcast, Inc. All budgets of A−1 Broadcast are made in good faith and are subject to change where stated services required to complete job are changed by Visit Orlando in writing. The Client is securing ▇▇▇▇▇▇ ▇▇▇▇▇▇ as the spokesperson (<Talent=) for the Secured Placement Package. If the Talent becomes unavailable or unwilling to participate, Visit Orlando will provide a replacement Talent for the completion of the project. A Secured Placement Package is a sixty to ninety−second package that includes video and soundbites of the Talent, along with B−Roll, which is provided by Client, of the city of Orlando, Florida and may include surrounding areas within Orange County Florida. The B−Roll and any other content provided by Visit Orlando to A−1B (<Visit Orlando Content=) shall belong to Visit Orlando and Visit Orlando shall retain all rights, title, and interest in and to the Visit Orlando Content. Visit Orlando hereby grants to A−1B and the participating Stations a revocable, non−exclusive, non− transferable, non−sublicensable right and license to use the Visit Orlando Content solely for the purpose of fulfilling A− 1B’s obligations to Visit Orlando under this Contract. Once the talent and the B−Roll are edited into the package, Client will provide final approval of completed package. Once approved, A−1B will distribute to the media. The distribution will consist of two (2) national and ten (10) local stations of which the locals will fall within Visit Orlando’s target market list of: Atlanta, Charlotte, Raleigh, Nashville, Dallas, Houston, Austin, San Antonio, Chicago, Miami, Tamp, Jacksonville, New York, Philadelphia, Boston, Washington DC., Hartford and Pittsburgh (<each, a Station, and collectively <Stations=).

  • Start Date for Term Calculation Purposes Only: Regardless of actual award/effective date of Contract, for Agreement “term” calculation purposes only, the Agreement “start date” is the last day of the month that Award Notifications are anticipated as published in the Solicitation. Example: If the anticipated award date published in the Solicitation is August 27, 2020 but extended negotiations delay award until September 24, 2020 the end date of the resulting initial “two-year” term Agreement, (which is subject to an extension(s)) will still be August 31, 2022 in this example
