So long as no Default or Event of Default is continuing, the Borrower or the Servicer (on behalf of the Borrower) may from time to time submit a Shipping Request that would permit a sale of Mortgage Loan Collateral to, or the pooling of Mortgage Loan Collateral for, an Approved Investor, pursuant to a Take-Out Commitment.
If the number of Files to be shipped pursuant to any one or more of the foregoing provisions of this Section 3.10 is one hundred fifty (150) or less and the Shipping Request is received by 10:30 a.m. (Denver time) on a Business Day, the Buyer will use its best efforts to ship the Files on that same Business Day.
The term "Shipping Request" means a written request from Borrower to Lender for the shipment of Loan Documents to an Investor substantially in a form required by Lender in the Standard Procedures.
Upon the Administrative Agent’s receipt of such funds in the Repurchase Settlement Account, all claims, rights, liens and security interests of the Administrative Agent and the Buyers, however arising, in and to the Purchased Loans that were so listed in the Shipping Request, shipped by the Custodian and for which the Administrative Agent was so paid pursuant to clauses (a) and (b) of this Section shall terminate and be released.
If Agent has no actual knowledge that any of the above conditions have not been satisfied, then Agent shall use its best efforts to ship the Collateral Documents it holds for those Mortgage Loans to that Approved Investor or its servicer or custodian under the appropriate Bailee Letter by the end of the Business Day following the date of receipt of the applicable Shipping Request.
