Shipping Materials definition

Shipping Materials means all pouches, components, labels and shipping containers required under the Specifications to make the Product ready for shipment. 1.44 “Shortfall Fee” shall have the meaning set forth in Section 2.1(c). 1.45 “Specifications” means the procedures, requirements, designs, standards, quality control testing and other data and the scope of services as set forth on Exhibit A for the Product, along with any valid amendments or modifications thereto, subject to the terms set forth below in Section 2.3, as well as obligations under CGMPs, the NDA, and any other pertinent Regulatory Authority requirements. The latest approved Specifications are hereby automatically incorporated by reference into this Agreement. 1.46 “Supply Failure” shall have the meaning set forth in Section 2.1(b). 1.47 “Term” shall have the meaning set forth in Section 9.1. 1.48 “Territory” means the United States of America, its commonwealths, territories, military bases and possessions, and any other country which the Parties agree in writing to add to this definition of Territory in an amendment to this Agreement. 1.49 “Unit” means a single dose ampule of Product. 1.50 “Unit Price” shall have the meaning set forth in Section 7.1. 1.51 “Verona Background IP” shall have the meaning set forth in Section 12.4(d). 1.52 “Verona Indemnitees” shall have the meaning set forth in Section 13.1. 1.53 “Verona Liquidated Damages” shall have the meaning set forth in Section 4.2. 1.54 “Verona Property” shall have the meaning set forth in Section 12.4(d). Examples of Shipping Materials in a sentence

  • If Supplier is unable to make a shipment due to a failure on Herbalife's or any Affiliate's part to provide the Shipping Materials described above, the affected Supplied Product requirement shall remain on the shipping schedule and shall be shipped as soon as commercially reasonable after all the necessary Shipping Materials are received by Supplier.

  • The aggregate fees in any financial year for the Shipping Materials and Services will depend on the types or quantity of the Shipping Materials and Services provided by/to the Group.

  • Branded Shipping Materials provided by EZ Prints must be used with Company Shipping Materials for shipping Products in accordance with instructions provided by EZ Prints.

  • The fees for the Shipping Materials and Services will be determined by reference to the prevailing market price for similar type of shipping materials and/or services.

  • Subject to the approval being obtained from the Independent Shareholders, the 2021 Shipping Materials and Services Framework Agreement will be effective from 1 January 2022 to 31 December 2024.

  • The transactions between the COSCO SHIPPING Group (and/or the associates of COSCO SHIPPING) and the Group under the 2021 Shipping Materials and Services Framework Agreement, the 2021 Sea Crew Framework Agreement and the 2021 Services Framework Agreement are essential to the businesses and operation of both groups.
