Shell Contract definition

Shell Contract means the outline agreement no. 4610021484 and purchase order no. 4900006232 between Shell Exploration & Production Co. and Particle Drilling Technologies, Inc., dated December 2, 2008 including any exhibits, amendments and supplements thereto.
Shell Contract means the Master Drilling Agreement, dated as of June 1, 1997, between SDDI and Noble US, together with the Drilling Order. 49
Shell Contract means the Long Term Supply Agreement, dated as of November 1, 1992, as amended, among Shell, IRLP, IRMI and MG Refining and Marketing, Inc.

  • Within 7 Business Days of the date of this Assignment, in connection with the Shell Contract, and promptly upon its entry into any new Drilling Contract, the Assignor shall give notice, substantially in the form attached hereto as Exhibit 1, of this Assignment to the counterparty to such contract, as applicable.

  • The Assignor hereby covenants and undertakes that, notwithstanding the assignment herein contained, it shall punctually perform all its material obligations under the Shell Contract or any other Drilling Contract to which it is a party.

  • The proceeds of the Securities shall be used for working capital and to complete the Company’s obligations under the Shell Contract.

  • Either the Company or Shell Exploration & Production Co. shall have ceased performing its respective obligations in accordance with the terms of the Shell Contract for a period of thirty (30) days.

  • The Shell Contract is to provide HVAC systems through and including the terminal boxes, with interior distribution and control elements to be handled in individual Tenant Finish-out Contracts.

  • Simultaneously with Tenant's execution of the Tenant Improvement Contract and the Warm Shell Contract, Tenant shall enter into, and shall cause each of the Warm Shell Contractor and the Tenant Improvement Contractor to enter into, an agreement with Landlord and Tenant, in form and substance reasonably satisfactory to Landlord (the "Three Party Agreement").

  • Material Contract means any contract or other arrangement (other than Loan Documents), whether written or oral, to which any Credit Party is a party as to which the breach, nonperformance, cancellation or failure to renew by any party thereto could reasonably be expected to have a Material Adverse Effect.
