Sharing Points definition

Sharing Points means, with respect to each Class B Limited Partner, the number of Sharing Points granted by the General Partner to such Class B Limited Partner (which number is set forth on the Power of Attorney executed by the Class B Limited Partner and delivered to the General Partner), as the same may be amended from time to time pursuant to the terms of this Agreement.

  • Likewise, when determining whether the Sharing Ratio of a Subject Member has exceeded the twenty-five (25%) percent cap, the Sharing Points of each Affiliated Person who is a Member shall be totaled with the Sharing Points of the Subject Member (and, to be clear, the total Sharing Ratio of the Subject Member and the Affiliated Persons of the Subject Member must not exceed twenty-five (25%) percent).
