Based on Accountholder’s card usage and the associated fees charged (retail price), eMONĒco REFERRED SPONSOR agrees to the “Revenue Sharing Fee Schedule,” set forth in Exhibit A herein.
Upon reasonable prior written notice from SplitCo Sub, LGI will make available to SplitCo Sub (at SplitCo Sub’s sole cost and expense) reasonable access to, or at SplitCo Sub’s sole cost and expense, copies of, the Records with respect to such Sharing Fee during regular business hours.
If the cost of any service to be provided to SplitCo under that certain Services Agreement, dated as of December 29, 2017, by and between a subsidiary of Parent and SplitCo (the “Services Agreement”) is included in the Sharing Fee payable hereunder, then the cost of such service shall not also be payable by SplitCo under the Services Agreement.
If the aggregate of the monthly installments of the Sharing Fee actually paid by SplitCo Sub to LGI for such calendar year differs from the actual amount of the Sharing Fee payable for such calendar year as indicated in the Statement, SplitCo Sub shall pay or LGI shall refund the difference (as the case may be) without interest within thirty (30) days after the date of delivery of the Statement.
If SplitCo Sub does not give written notice of its election to audit the Sharing Fee during the Audit Election Period, LGI’s calculation of the Sharing Fee for the applicable calendar year as set forth in the Statement shall be deemed approved and binding upon the parties for all purposes and SplitCo Sub shall have no further right to review or contest the same.
SplitCo Sub shall pay the Sharing Fee to LGI in equal monthly installments, by wire or intrabank transfer of funds or in such other manner as may be agreed upon by the parties, on the first day of each and every calendar month during the Term, except the month of January in the year 2018, in which month such installment of the Sharing Fee shall be due and payable on January 16, 2018.
LMAC will pay LPH the Sharing Fee by wire or intrabank transfer of funds or in such other reasonable manner specified by LPH to LMAC, in arrears on or before the last day of each calendar month following the Effective Date.
Neither party will be liable to the other party with respect to any nonperformance or delay in performance of its obligations under this Agreement, other than for payment of the Sharing Fee, to the extent such failure or delay is due to any action or claims by any third party, labor dispute, labor strike, weather conditions or any cause beyond a party’s reasonable control.
For clarification purposes, the parties intend that the Sharing Fee be used, to the extent available, to reduce the price the Seller pays for the Subordinate Securities to a floor price equal to the Subordinate Securities Floor Price.
The Revenue Sharing Fee will not begin until the later of (x) July 1, 2020, or (y) the first renewal, extension, or change in the agreement between you and your customer after July 15, 2019 (except if the agreement has a perpetual term or rights, then renewal will be deemed to have occurred upon the date on which the first payment is due from End Customer to ISV after July 1, 2020 in connection with the agreement or a related agreement covering ongoing maintenance or support).
