Shares Value definition

Shares Value means the aggregate value of Lifetime’s Common Stock held by the relevant Seller valued at the average of the closing prices of Lifetime’s Common Stock on the last five trading days preceding the date in question as reported on the NASDAQ Stock Exchange.

Examples of Shares Value in a sentence

  • Anything in the preceding provisions of this paragraph (iii) to the contrary notwithstanding, after the relevant Effective Date the Purchase Price shall be deemed to refer to the sum of (X) the principal amount of all Debentures not yet converted and (Y) the Held Shares Value.

  • Notwithstanding the prior sentence, the Committee shall have the power and authority, in its sole and absolute exercise of negative discretion, to reduce the Earned Shares such that the Earned Shares Value will be less than the Award Pool Value, which reduction may be made by taking into account the factors described above under Section 3 of this Agreement or any other criteria the Committee deems appropriate.

  • Notwithstanding the foregoing, (i) the right of IXC to receive any Additional Shares and/or cash pursuant to this Section 3.5 shall terminate and be of no further force or effect on such date as the calculation of the IXC Common Shares Value would result in a value equal to or greater than $240,000,000 and (ii) the obligations of IXC under this Agreement shall not be altered, diminished, modified or impaired by any delivery or payment of Additional Shares and/or cash pursuant to this Section 3.5.

  • Anything in the preceding provisions of this paragraph (iii) to the contrary notwithstanding, after the Effective Date the Purchase Price shall be deemed to refer to the sum of (X) the principal amount of all Debentures previously purchased but not yet converted and (Y) the Held Shares Value (as defined below).

  • For purposes hereof, the Parent Shares shall be deemed to have a value equivalent to the Parent Shares Value.

  • The reductions in Earned Shares Value, if any, shall not result in any increases in the value of performance shares earned by any other Participant.

  • For purposes of offset described in this (S)6(d), the Buyer Shares shall be valued in an amount equal to the Buyer Shares Value.

  • On the terms and subject to the conditions contained in this Agreement and the Transfer Agreement, in consideration of the contribution and delivery of the Rollover Shares referred to in Section 1.1, the Company shall, at the Closing, issue to the Stockholder the number of shares of Common Stock (at a price per share equal to the price per share paid by ASP and its affiliates for Common Stock) equal in value to the Rollover Shares Value.

  • In such event, the Buyer shall promptly pay Seller the amount of such cash difference, and promptly issue additional Buyer Preferred Shares in the amount of such difference based on the Buyer Preferred Shares Value, and such additional Buyer Preferred Shares shall be pledged pursuant to the Pledge Agreement.

  • All Offsets shall first be against the Buyer Preferred Shares based on the Buyer Preferred Shares Value in accordance with the Pledge Agreement.
