Share Voting Power definition
Share Voting Power means the aggregate number of votes entitled to be cast in the election of the Company’s directors by all Stockholders, calculated on an “as converted” basis. For the avoidance of doubt, and assuming that only shares of Common Stock and Series D Preferred are outstanding, 100% of the Share Voting Power would be calculated as the sum of (i) the total number of shares of Common Stock then held by Stockholders plus (ii) the number of shares of Common Stock into which the Series D Preferred then held by Stockholders is convertible.
Examples of Share Voting Power in a sentence
This Agreement may be amended or terminated and the observance of any term hereof may be waived (either generally or in a particular instance and either retroactively or prospectively) only by a written instrument executed by Stockholders holding two-thirds or more of the Share Voting Power.
Thereafter, the Stockholders shall cause, or shall cause their respective Board designees to cause, the Chairman to be a Board member approved by prior vote or written consent of two-thirds or more of Share Voting Power (which Chairman may include ▇▇▇▇ ▇▇▇▇▇▇▇) and for such Chairman to be elected or appointed for a one-year term.
