Share Retention Deed definition
Share Retention Deed means the agreement, between certain founding individuals of the Sponsor, the Sponsor, the Shareholder and EBRD pursuant to which, inter alia, (i) the Shareholder agrees not to effect any change in its equity interest in, or transfer any of its shares in the capital of, the Borrower without the prior written consent of EBRD and (ii) the Sponsor agrees not to effect any change in its equity interest in, or transfer any of its shares in the capital of, the Shareholder without the prior written consent of EBRD.
Share Retention Deed shall have the meaning set forth in the Loan Agreement;
