Share Qualification definition
Share Qualification means the required percentage of shareholding in the issued share capital of the Company to appoint a Director as set out in clause 3.2. Shareholder means a party who holds Shares and, at the date of this agreement, means a party listed in the table in Schedule 1 (other than in respect of the unallocated Share Plan).

For the avoidance of doubt, nothing in this Agreement shall limit a CL SPV’s right to freely transfer, sell or dispose of the CL Shares held thereby immediately following the CL Share Qualification.
