Share Price Appreciation definition

Share Price Appreciation means, in respect of a SAR, the amount determined by deducting the Offer Price from the Vesting Price;
Share Price Appreciation means, as to the Company and the Peer Group Index the annualized rate of return shareholders receive through stock or unit price changes (disregarding any dividends or other distributions paid), from the first day of the Performance Period through the Measurement Date which, for the avoidance of doubt, may be positive or negative. For purposes of determining the Share Price Appreciation for the Company and the Peer Group Index through the Measurement Date, the change in the price of the Company’s Common Stock and the Peer Group Index’s trading price, as the case may be, shall be based upon the closing price of the Common Stock and the Peer Group Index on the trading date immediately prior to the first day of the Performance Period (the “Initial Value”) and the closing price on the Measurement Date. Achievement with respect to this Performance Objective shall be determined as of the Measurement Date by the Committee based on difference between the Company’s Share Price Appreciation and the Share Price Appreciation of the Peer Group Index from the first day of the Performance Period through the Measurement Date (the “Performance Delta”), and shall be determined in accordance with the table set forth in Appendix A hereto. The “Peer Group Index” means the Dow Xxxxx U.S. Oil & Gas Exploration & Production Index, as measured by the performance of the iShares Dow Xxxxx U.S. Oil & Gas Exploration & Production Index Fund (NYSEARCA: IEO). As soon as administratively practicable following the Measurement Date (but in no event later than the 15th day of the third calendar month following the calendar month in which the Measurement Date occurs), the Committee shall certify whether and to the extent that the Performance Objective has been achieved and will determine, in the manner described above, the number of Performance Units, if any, determined to be earned on the Measurement Date pursuant to the table in Appendix A. The number of Performance Units, if any, determined by the Committee pursuant to the preceding provisions of this Section 3 shall be referred to as the “Earned Performance Units.”

  • Common Stock Price means, as of a particular date, the average of the Fair Market Value of one share of Common Stock over the fifteen (15) consecutive trading days ending on, and including, such date (or, if such date is not a trading day, the most recent trading day immediately preceding such date); provided, however, that if such date is the date upon which a Transactional Change of Control occurs, the Common Stock Price as of such date shall be equal to the fair value, as determined by the Committee, of the total consideration paid or payable in the transaction resulting in the Transactional Change of Control for one share of Common Stock.

  • Common Share Price means the volume weighted average closing price of the Common Stock (as reported by the Primary Exchange on which the Common Stock is then traded) for the ten (10) trading days immediately preceding the date on which the determination is made (or, if such price is not available, as determined in good faith by the Board of Directors).

  • Share Price means any price of the Share as published by the Exchange.

  • Merger price per share means, in the case of a merger, consolidation, sale, exchange or other disposition of assets that results in a Change of Control or going private transaction (a “Merger”), the greater of (i) the fixed or formula price for the acquisition of shares of common stock occurring pursuant to the Merger, and (ii) the highest fair market value per share of common stock during the ninety-day period ending on the date of such Change of Control or going private transaction. Any securities or property which are part or all of the consideration paid for shares of common stock pursuant to the Merger shall be valued in determining the merger price per share at the higher of (A) the valuation placed on such securities or property by the Company, person or other entity which is a party with the Company to the Merger, or (B) the valuation placed on such securities or property by the Committee.

  • Award Value means the value, in dollars, of an award made to a Participant and as stated in the applicable Award Agreement, which is provided under the Plan in the form of PSUs or RSUs, as the case may be.
