The Dealer Manager will not reallow Selling Commissions, but subject to the conditions and limitations in this Agreement, will reallow one and three-eighths percent (1.375%) of the price per Share out of the Dealer Manager Fee to the Soliciting Dealer in connection with certain Special Sales of Class A Shares by the Soliciting Dealer.

The Dealer Manager, in its sole discretion, may reallow up to one and one-half percent (1.5%) of the price per Share, out of the Dealer Manager Fee, to participating Soliciting Dealers.
Notwithstanding the foregoing, to the extent that there are available funds in the Collection Account, Agent may, in its sole discretion, notify each such Lender that such Lender’s obligation to make available to Agent same day funds as provided in the preceding sentence shall be satisfied to the extent of its Pro Rata Share out of such funds in the Collection Account or such portion of such funds as Agent shall indicate are to be applied to fund such Loan.
