Examples of Share Legend in a sentence

  • This Debenture and any certificate representing any U.S. Common Shares originally and all certificates issued in exchange or substitution therefor shall bear the above legend or the U.S. Common Share Legend set forth in Section 3.7(b) of the Indenture, as applicable, until such time as the same is no longer required under applicable requirements of the U.S. Securities Act or applicable state securities laws.

  • The Issuer shall remove the Share Legend (or restrictive notation, as applicable) set forth above from the certificates evidencing any such securities (or the records, in the case of uncertified shares), upon request at any time after the restrictions described in such legend cease to be applicable.

  • The Issuer may reasonably request such opinions, certificates or other evidence that such restrictions no longer apply as a condition of removing the Share Legend.

  • The Ordinary Shares issued upon such conversion and exchange shall bear the 144A Ordinary Share Legend.

  • The following Schedules are incorporated into and form part of this Indenture: Schedule A – Form of Debenture Schedule B – Form of Conversion Notice Schedule C – Share Legend Schedule D – Form of Certificate of Transfer Schedule E – Form of Certificate of Exchange Schedule F – Form of Qualified Institutional Buyer Letter.

  • The Parent Issuer may reasonably request such opinions, certificates or other evidence that such restrictions no longer apply as a condition of removing the Share Legend (or restrictive notation, as applicable).

  • Certificates representing Shares issued upon the exercise of Warrants pursuant to section 4.1 shall bear the following legend (the “Share Legend”), provided that all certificates representing Shares issued after November 27, 2012 will not bear the first and second paragraphs of the Share Legend.

  • Any certificated share of Series A Preferred Stock delivered in exchange for an interest in a Global Share pursuant to this Section shall not bear the Global Share Legend.

  • The Share Legend (or restrictive notation, as applicable) set forth above shall be removed from the certificates evidencing any such securities (or the records, in the case of uncertificated shares), upon request at any time after the restrictions described in such legend cease to be applicable.

  • Certificates representing U.S. Common Shares issued on or after April 6, 2014 shall not be required to be issued with a U.S. Common Share Legend if the holder has provided an opinion of counsel of recognized standing reasonably satisfactory to the Corporation, that the legend is no longer required under applicable requirements of the U.S. Securities Act or state securities laws.
