SHARE APPRECIATION means the excess of the Fair Market Value per Share over the Option Price of the related Share, as determined by the Committee.
SHARE APPRECIATION means the price per share of common stock of the Company at which the transaction constituting a Change of Control occurs, as determined in good faith by the Committee.
