SH1 means SH130 Holdco 1, LLC, a new Delaware limited liability company that: (a) will be formed on or after the Confirmation Date and prior to the Effective Date pursuant to the filing of the SH1 Certificate with the Secretary of State of the State of Delaware; (b) will elect to be treated as a corporation for U.S. federal, state and local income tax purposes; and (c) will hold, as of the Effective Date, those Company Units that would have been distributed to those Holders of Senior Secured Claims who have made the SH1 PIK Equity Election, had such Holders not made the SH1 PIK Equity Election.
