SFX Group definition

SFX Group means, with respect to any taxable period, the corporations that were members of the SFX Affiliated Group during such period (including, without limitation, SFX), exclusive of the corporations that are included in the Entertainment Affiliated Group immediately after the Distribution Date.

Examples of SFX Group in a sentence

  • SFX agrees to indemnify and hold harmless each member of the Entertainment Group and its officers and employees, and Entertainment agrees to indemnify and hold harmless each member of the SFX Group and its officers and employees, against any cost, fine, penalty or other expense of any kind attributable to the negligence or misconduct of a member of the SFX Group or the Entertainment Group, as the case may be, in supplying a member of the other group with inaccurate or incomplete information.

  • If any member of the SFX Group or the Entertainment Group, as the case may be, fails to provide any information requested pursuant to this section, then the requesting party shall have the right to engage a public accountant of its choice to gather such information.

  • Entertainment and its subsidiaries have been or will be included in the consolidated Federal Income Tax returns filed by SFX, and Entertainment and certain of its subsidiaries have been or will be included with one or more members of the SFX Group in state and local unitary or combined Income Tax and franchise tax returns.

  • Entertainment and SFX agree to permit any such public accountant full access to all appropriate records or other information in the possession of any member of the SFX Group or the Entertainment Group, as the case may be, during reasonable business hours, and to reimburse or pay directly all costs and expenses in connection with the engagement of such public accountant.

  • Unless otherwise provided in this Agreement, the SFX Group shall pay all Other Taxes and any Income Taxes as to which consolidated, unitary or combined returns are not made (and shall be entitled to receive and retain all refunds of such Taxes) that are attributable to members of the SFX Group.

  • If SFX is required to make a payment to a member of the Entertainment Group under this Agreement, such payment shall be made to Entertainment or any successor corporation as the parent of the Entertainment Affiliated Group, and any payment due under this Agreement from any member of the Entertainment Group to SFX shall be made by Entertainment to SFX or any successor corporation as common parent of the SFX Group.

  • No provisions of this Agreement shall be construed (i) to limit the right of SFX, any other member of the SFX Group, Entertainment or any other member of the Delsener/Xxxxxx Group to amend any Plan or terminate any Plan, or (ii) to create any right or entitlement whatsoever in any employee of the Pre-Distribution Group, former employee of the Pre-Distribution Group or Beneficiary, including a right to continued employment or to any benefit under a Plan or any other compensation.

  • The Delsener/Xxxxxx Group and SFX Group shall bear their own costs and expenses with respect to actions taken to comply with this Agreement, except as otherwise provided in this Agreement.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Tax Group means any federal, state, local or foreign consolidated, affiliated, combined, unitary or other similar group of which the Acquiror Company is now or was formerly a member.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Parent Group has the meaning set forth in Section 8.03(c).

  • User Group means (a) you; (b) any entity or individual that Stripe reasonably determines is associated with you; and (c) each of your and their Affiliates; that has entered into an agreement with Stripe (or an Affiliate of Stripe) under which Stripe or its Affiliate provides services.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • Xxxxxxx Group means (a) any member of the Xxxxxxx Family and (b) any Related Person of any such member.

  • Related Group For Loan Group 1, Group 1 and for Loan Group 2, Group 2.

  • Affiliated Group means any affiliated group within the meaning of Section 1504(a) of the Code or any similar group defined under a similar provision of state, local or foreign law.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • SpinCo shall have the meaning set forth in the Preamble.

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Target Group means the Target and its Subsidiaries.
