  • Except for Dart, Crown, SFW Holding Corp., Shoppers and Trak, none of the Dart Companies is required to file any forms, reports or other documents with the SEC, Nasdaq, the New York Stock Exchange or any other foreign or domestic securities exchange or Governmental Authority with jurisdiction over securities laws.

  • The failure of either party to insist in any one or more instances upon a strict performance of any of these Terms or the SFW Agreement or the waiver by either party of any term or right hereunder or any default by the other party shall not be deemed or construed as a waiver by such party of any such term, right or default in the future.

  • Subject to the other provisions contained in these Terms, which provisions shall be paramount, the volume of Water that will be supplied by the Company to the Shareholder is to be at the Approved Rate, delivered to the Property to be irrigated as set out in the SFW Agreement.

  • To the extent that a state or federal agency declines to adopt, for regulatory purposes, a protective measure otherwise required herein, SFW will nevertheless implement the measure provided it does not conflict with regulatory requirements.

  • In the event that the Shareholder breaches any of these Terms or the SFW Agreement or any of the provisions contained in the Farm Environment Plan (if applicable) or the Scheme Management Plan or fails to provide information under clauses 9.1, 9.5 and 10 then the Company may give notice of breach to the Shareholder as set out in clause 23 and if necessary terminate these Terms and the SFW Agreement as set out in clause 20.

  • The Company may at any time assign and transfer the benefit of the SFW Agreement and these Terms.
