SF Seller has the meaning set forth in the first paragraph of this Agreement.

With respect to the SF Hotel, Purchaser acknowledges that the Liquor License and all alcoholic beverage inventories are not held by SF Seller but are held by Manager, and that, as of Closing, Manager shall continue to hold such Liquor License and alcoholic beverage inventories pursuant to the New Management Agreement Documents for the SF Hotel at no additional charge to Purchaser.
All representations, warranties, covenants and agreements made by Maui Seller, Coconut Point Seller and SF Seller, or by “Seller”, in this Agreement are made severally by Maui Seller, Coconut Point Seller and SF Seller (as applicable), and not jointly.
