SHBI shall also cause the Surviving Corporation to advance expenses as incurred by such Indemnified Parties to the same extent as such persons are entitled to advancement of expenses as of the date of this Agreement by Severn pursuant to the Severn Articles and the Severn Bylaws or any agreement, arrangement or understanding which has been set forth in Section 6.10 of Severn’s Disclosure Schedule, in each case as in effect on the date hereof.
No other vote (or consent) of the shareholders of Severn is required by law, the Severn Articles, the Severn Bylaws or otherwise to approve this Agreement, the Bank Merger Agreement and the Transaction.
