Severe Error definition

Severe Error means a Level 1 or Level 2 Error arising during the Warranty Period. “Level 1” refers to an Error resulting in the Licensed Product being completely non-functional or inoperative. Severity Level 1 issue affects Licensee’s business. Level 1 properly designates an Error if the problem has very serious consequences for normal business transactions and urgent, business critical work cannot be performed. Such Level 1 message requires immediate processing because the malfunction can cause serious losses to Licensee’s business. This is generally caused by the following circumstances: (i) a complete system outage, or (ii) malfunctions of central functions in the production system. “Level 2” refers to an Error resulting in the Licensed Product operating or performing other than as represented in the Documentation. The Licensed Product is operative. Such Level 2 Error does not have a material adverse impact on the Licensed Product’s performance, though it may require corrective resolution to more effectively meet the Licensee’s business needs.
Severe Error. (MPDV category “RED”) means any demonstrable error in the Supported Software that: (i) causes the Software to have a significant loss of utility of intended function as set forth in its documentation or causes any Custom Software that is integral to the operation of the system to have a significant loss of utility of intended function as set forth in its requirements specifications; (ii) causes or is likely to cause data to be lost or destroyed; or (iii) prevents the Software or any Custom Software that is integral to the operation of the system from being installed or executed on the properly configured system.
Severe Error means when KPA and/or KPV fails to function according to its published documentation and Licensee is unable to proceed without a fix to the problem or a workaround solution provided by ServiceWare. Modification Errors are not Severe Errors.

  • If there is no immediate workaround for a Severe Error, Aginity shall provide an action plan, which shall describe the status of resolution, next steps planned for resolution (including responsible persons allocated by Aginity and Licensee), the required Licensee cooperation, the date and time for the next update from Aginity and due dates for actions taken by Aginity (if possible).

  • If a Severe Error does arise during the Warranty Period, such Severe Error shall be rated either Level 1 or Level 2.

Determining whether an error is a “Clerical Error” is within the reasonable judgment of the Broker-Dealer, provided that the Broker-Dealer has a record of the correct Order that shows it was so received or so generated prior to the Broker-Dealer Deadline or the Submission Deadline, as applicable.
