Settlement Manager means Barclays Bank PLC; specified office means each of the offices of the Agents specified in Clause 18 herein and shall include such other office or offices as may be specified from time to time hereunder; Subsidiary means any entity whose financial statements at any time are required by US GAAP to be fully consolidated with those of the Issuer; Transfer Agents means the Transfer Agents referred to above and such further or other Transfer Agent or Agents as may be appointed from time to time hereunder; US GAAP means the Generally Accepted Accounting Principles in the United States, as in effect from time to time.
