Settlement Date Statement definition

Settlement Date Statement means a statement, substantially in the form of EXHIBIT A attached hereto, which contains a computation of the Purchase Price as of the Closing Date.

Settlement Date Statement means a report, in substantially the form of Exhibit C hereto (appropriately completed), furnished by the Servicer to the Co-Agents pursuant to Section 7.05.

Settlement Date Statement means a statement, substantially in the form of Exhibit F attached hereto, that contains the information and calculations required by Section 4.02(a).

• If the Purchase Price for the Acquired Assets as reflected on the Settlement Date Statement is greater than the Purchase Price paid by Purchaser on the Closing Date, then Purchaser shall remit the difference to Seller, together with interest on such amount at the Federal Funds Rate divided by three hundred sixty (360) for each day during the period from the Closing Date to the Settlement Date.

• Seller shall have the right to review the Settlement Date Statement, together with any supporting documents reasonably requested by Seller to verify the accuracy and completeness of the valuations set forth therein and the Settlement Date Statement shall be revised by Purchaser to reflect any corrections agreed to by Purchaser and Seller.

• In the event that facts or circumstances arise after the date of the Settlement Date Statement that give rise to Post-Closing Payments, then, after the Settlement Date, in accordance with Section 4.01, the Parties agree that a further adjustment to the Purchase Price shall be made in favor of FNANB or Purchaser, as applicable, in the amount of the chargeback, check or credit, as the case may be, resulting from any such Post-Closing Payments.

• Purchaser agrees that it shall provide to FNANB mutually acceptable supporting documentation in a mutually agreed format and accompanied by a file layout relied upon in determining the Purchase Price and the aggregate amount of any Accounts-Based Adjustments set forth in the Settlement Date Statement.

• Any withdrawal or distribution of any amount on deposit in the Collection Account by the Trustee, including without limitation, any withdrawal or distribution to be made on any Settlement Date in accordance with the related Settlement Date Statement, in each case, shall only be made with the Administrative Agent's prior written approval (such prior written approval of the Administrative Agent not to be unreasonably withheld and may be in the form of an email to the Trustee from the Administrative Agent).

• Except as otherwise disclosed to the Administrative Agent on the Settlement Date Statement relating to any Settlement Date, no Principal Coverage Ratio Violation has occurred.
