  • As a material inducement to Seller to enter into this Agreement, the Company shall, upon a request from Seller or Seller’s permitted assigns after the Settlement Completion, use commercially reasonable efforts to prepare and file with the Commission a Registration Statement covering the resale of all Registrable Securities for an offering to be made on a continuous basis pursuant to Rule 415.
