Settlement Administration Fees shall be paid through the Settlement Fund and are limited to the common fund amount.
The payments shall be calculated by dividing remaining funds in the Settlement Fund, after payment of Settlement Administration Fees, Attorneys’ Fees Costs and Expenses, Credit Monitoring and Identity Restoration Services, and Documented Monetary Losses, by the number of eligible claims.
The Court also will be asked to rule on the request for payment of Attorneys’ Fees and Costs, Enhancement Payment, and Settlement Administration Fees and Costs.
In the unlikely event that the total cost of this settlement would otherwise exceed $3,000,000, Settlement Administration Fees will be paid as a first priority; the cost of credit monitoring will be paid as a second priority; other costs and expenses will be pro- rated as needed to stay within the maximum $3,000,000 cap.
In the event total claims exceed the net amount of Settlement funds left after Settlement Administration Fees, Service Award Payments, and attorneys’ fees and costs of Administration Fees, Attorneys’ fees and expenses, and Service Awards, the claim of each Settlement Class member shall be reduced on a pro rata basis.
Under no circumstances shall GLAIC be liable or obligated to pay any fees, expenses, costs, or disbursements to any person in connection with the Action, this Agreement, or the Settlement other than the Final Settlement Fund amount, which represents GLAIC’s total and maximum contribution to this Settlement, inclusive of all relief to the Settlement Class, Class Counsel’s Fees and Expenses, Incentive Awards, and Settlement Administration Fees.
Settlement Administration Fees shall issue 75 (Seventy-five) calendar days from the Final Approval Date.
If the Settlement Administration Fees and Costs are less than the amount requested, the difference will be included in the Net Settlement Amount and distributed pro rata to the Settlement Class Members as set forth in Section 5.B. The Settlement Administrator shall have no claim for payment from Defendant with respect to any services provided by the Settlement Administrator except as otherwise expressly set forth in this Settlement Agreement.
Other than the cost of providing the list or other information identifying potential Settlement Class Members set forth in the Stipulation, all Settlement Administration Fees and Expenses shall be paid from the Settlement Fund and in no event shall Defendants bear any responsibility for such fees, costs, or expenses, subject to paragraph 17 of the Stipulation.
The Settlement Administrator will be paid out of the Gross Settlement Amount described in Paragraph 9.3. The Settlement Administration Fees will not exceed $145,000.00.
