In consideration of the settlement terms, the parties each fully and forever release and discharge each other, and each other’s successors, affiliates, assigns, agents, partners, employees, insurers, and attorneys from any and all actions, claims, causes of actions and demands for any and all damages, injuries, and/or losses, whether asserted or unasserted, known or unknown, foreseen or unforeseen, arising out of the Settled Matter and the Civil Action described above.
Qualspec LLC has claims against the insurance companies under the Insurance Policies with respect to the Settled Matter, which claims may not be resolved prior to the Closing.
Each of the payment obligations set forth in the Settlement Agreement (as defined in the Schedules) with respect to the Settled Matter have been paid in full prior to the Closing.
