Set Aside Fund definition

Set Aside Fund means the sum of £2 attributed to the Deferred Shares in order to create a set aside pool in which all holders of Deferred Shares in common will hold an interest corresponding to the proportionate value of their respective holdings of Deferred Shares which set aside pool shall be described as the ‘Set Aside Fund’ in accordance with a special resolution contained in a notice of general meeting of the Company dated 5 June 2018.

  • SSA may request that SERA and the NI, Companies agree to a reduction of the Set Aside Fund to an amount equal to the remaining estimated costs (as defined pursuant to the Four Party Agreement) in accordance with Paragraph 3(c) below.

  • Without any consent of the Bank, SERA and the NL Companies, but with prior written notice being given to all by SSA, SSA may use or designate all or any portion of the Set Aside Fund as collateral for FAT Loans actually awarded to SERA.

  • SSA may draw upon Available Funds in the Set Aside Fund for the purpose of paying for the Remediation solely in accordance with Paragraph 3(b) below.

  • In no event and under no circumstance shall Bank have any obligation to monitor, verify, insure or otherwise see to it that any and all such amounts disbursed from the Set Aside Fund pursuant to a Written Approval are in fact used or utilized by SSA, or any other person or party, for, to or with respect to the Remediation.

  • Any amount of the Set Aside Fund used or designated as collateral for any EIT Loan shall reduce the amount and availability of the remaining funds allocated to the Set Aside Fund for other Eligible Uses ("Available Funds").

  • Plaintiffs and their counsel will be reimbursed and indemnified solely out of the Settlement Fund and Set Aside Fund for all costs, fees, and expenses including, but not limited to, the costs of notice of this Settlement to Indirect Purchaser Class members, administration of the Settlement Fund, escrow administration, and taxes.

  • The Indirect Purchaser Class intends for this amount to cover a portion of Indirect Purchaser Class Counsel attorneys’ fees, costs and expenses, and plan to file a motion requesting that the Court award some or all of the amount in the Set Aside Fund to Indirect Purchase Class Counsel as attorneys’ fees, costs and expenses.

  • Defendants shall have no liability with respect to disbursements from the Settlement Fund or Set Aside Fund pursuant to any Court-approved Plan of Allocation.

  • In the event that the Settlement becomes final pursuant to paragraph 7 herein, the Settlement Fund and Set Aside Fund will fully satisfy any and all Released Claims as defined in paragraph 14 herein.

  • Except as provided by order of the Court, no member of the Indirect Purchaser Class shall have any interest in the Settlement Fund, the Set Aside Fund, or any portion thereof.
