The Servient Owner, for itself and its successors and assigns, covenants and agrees that no part of the Servient Lands, now owned or controlled, or hereinafter acquired or controlled, by the Servient Owner or any of its affiliates or successors, may be used now or in the future for purposes other than Industrial Purposes.
Any costs and expenses of any such proceedings, including all legal fees, shall be paid by the Servient Owner and shall constitute a lien against the Servient Lands and improvements thereon, or the interests therein, until such costs and expenses are paid in full.
The Servient Owner shall repay the Municipality within five (5) business days of written demand in respect of any expenses incurred by the Municipality to complete the repairs.
The Municipality may request the Servient Owner repair the infrastructure at its own discretion and if the requested repairs are not complete within thirty (30) days of written notice, then the Municipality may complete the repairs at the Servient Owner’s sole expense.
The Servient Owner covenants and agrees, subject to the other Owner's obligations to repair damages as set out in this Agreement, at its expense, to keep the Servient Land in good condition and repair to the satisfaction of the Transferee.
The Dominant Owner shall deliver to the Servient Owner with its request for any such easement a draft reference plan prepared by an Ontario Land Surveyor engaged at the sole cost and expense of the Dominant Owner, depicting thereon those portions of the Sentient Owner’s Lands which are intended to be made subject to the said easement, together with written reasons explaining why such easement is required.
Specifically, the Servient Owner shall be required to maintain the pond, hydrant and maintenance path outlined in Schedule C are in good working condition.
The Servient Owner agrees that the Municipality is in no way responsible for the maintenance and repair of the Servient Land.
The parties agree that this Agreement shall be registered on title to the Servient Land by the Servient Owner and Dominant Owner, at the expense of the Dominant Owner.
In the event of physical damage being caused to the Servient Tenement by the activities hereby permitted, the Dominant Owner’s liability shall be limited to repair or replacement of the damaged property only and the Servient Owner will protect the Dominant Owner against any claim for any reason whatsover, including a claim of nuisance, in excess of the said repair or replacement.
