SERVICE TECHNOLOGY definition

SERVICE TECHNOLOGY means the technology, that (i) is owned by, acquired by, or licensed to DMX, (ii) DMX has the right to license as provided herein, and (iii) is necessary for the reception, transmission or distribution of the Channels, including, without limitation, the addressing system for cable decoder boxes.
SERVICE TECHNOLOGY means the proprietary technology of Vendor including the Services, the Service Software, software tools, hardware designs, algorithms, user interface designs, architecture, class libraries, objects and documentation, printed and electronic, network designs, trade secrets and any related intellectual property rights (whether owned by Vendor or licensed to Vendor by a third party). End User’s use of the Services is subject to these Terms. End User may agree to these Terms by accepting them in writing in an agreement providing for the Services to be rendered to End User, which may include the Professional Services Agreement containing sufficient details and incorporating these Terms by reference (for purposes of this Exhibit A, the “Services Agreement”), or by accepting them electronically, provided that End User shall be deemed to have accepted these Terms upon commencement of the providing of any Service to End User. If End User does not agree to all of these terms, End User shall discontinue any use of the Services immediately. These Terms are subject to change without notice due to changes in the applicable laws or for circumstances beyond the control of Vendor.
SERVICE TECHNOLOGY has the meaning set forth in Section 9.1.1 (Indemnity by Amdocs).

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • Company Technology means all Technology used in or necessary for the conduct of the business of the Company or any of its Subsidiaries, or owned or held for use by the Company or any of its Subsidiaries.

  • Background Technology means all tools, programs, designs, processes, formulas, techniques, improvements, inventions, works of authorship, software, data, know-how, ideas, methodologies, specifications, code libraries, algorithms, protocols, routines, subroutines, network systems, machine learning models, Trade Secrets (defined below), and other technology which are: (a) created, developed, owned, or licensed by PickNik prior to the Effective Date of this Agreement; (b) are created, developed, owned, or licensed by PickNik during the term of this Agreement but not delivered as a part of the Software; (c) which have general applicability to PickNik’s business and which are not based on any Company Confidential Information; or (d) modifications of or derivatives to any of the foregoing.
