Examples of Series or Tranche in a sentence
The following is the text of the terms and conditions which, subject to completion by the Final Terms relating to a particular Series or Tranche of ETP Securities, will be applicable to the ETP Securities of such Series or Tranche and which will be attached to or endorsed on such ETP Securities in definitive form (or, in the case of Registered Securities, on the Individual Certificates relating to such Registered Securities).
As a condition precedent to any new Series or Tranche, as applicable, of Covered Bonds issued under the Programme, any Person which becomes a Secured Creditor pursuant to and in accordance with this Agreement (each a “New Secured Creditor”) shall be bound by the terms of this Agreement and as evidence of such shall execute an instrument in a form acceptable to the Bond Trustee.
The Indenture permits, with certain exceptions as therein provided, the amendment thereof and the modification of the rights and obligations of the Issuer and the rights of the Holders of the Environmental Control Bonds under the Indenture at any time by the Issuer with the consent of the Holders of Environmental Control Bonds representing a majority of the Outstanding Amount of all Environmental Control Bonds at the time Outstanding of each Series or Tranche to be affected.
The parties hereto agree that selling restrictions may be modified by the agreement of the Issuer, the Guarantor, the Arrangers and the Dealers following a change in a relevant law, regulation or directive or in respect of any Series or Tranche.
However, such amendment may not adversely affect in any material respect the interest of any Environmental Control Bondholder or any Swap Counterparty without the written consent of a majority of the Holders of the Outstanding Amount of the Environmental Control Bonds of each Series or Tranche and each such Swap Counterparty materially and adversely affected thereby.
As set out in the Final Terms for the relevant Series or Tranche of Covered Bonds.
Notwithstanding the foregoing, the entire unpaid principal amount of the Environmental Control Bonds of any Series or Tranche shall be due and payable, if not previously paid (i) on the Series Termination Date (or, if applicable, Tranche Termination Date) therefor or (ii) on the date on which the Environmental Control Bonds of all Series have been declared immediately due and payable in accordance with Section 5.02.
Each Environmental Control Bond shall bear upon its face the designation so selected for the Series or Tranche to which it belongs.
If the Indenture Trustee receives conflicting or inconsistent requests and indemnity from two or more groups of Noteholders of such affected Series (or Tranche in the case of a Shared Enhancement Series), each holding less than a majority of the Outstanding Amount of such Notes, the Indenture Trustee in its sole discretion may determine what action, if any, to take, notwithstanding any other provisions of this Indenture.
Each Transition Bond shall bear upon its face the designation so selected for the Series or Tranche to which it belongs.
