  • Upon the basis of the representations and warranties and subject to the terms and conditions herein set forth, the Company agrees to issue and sell to the Underwriter, and the Underwriter agrees to purchase from the Company the respective number of Units set forth opposite the name of the Underwriter in Schedule A hereto, at a purchase price of $0.5225 per Series E Unit and $0.5130 per Series F Unit.

  • The proceeds from the issuance of the Series E & F Unit and the Series F Unit will be used to make equity contributions or "Qualified Intercompany Loans" (as defined in the Loan and Security Agreement) to KMC Telecom III, Inc.
