Series A Parity Security definition

Series A Parity Security means any class or series of stock issued by the Corporation ranking on a parity with the Series A Preferred with respect to payment of distributions and upon liquidation, dissolution, or winding up of the Corporation.

  • If the General Partner expects to have insufficient Available Cash to pay the next Series A Distribution in full at the time of declaration of a Series A Distribution or Series A Parity Security distribution, it will adjust the amount of such distributions so that the Series A Preferred Units and Series A Parity Securities are paid on a pari passu basis on their respective payment dates.
