SEQUIAM s principal place of business is located at 300 Sunport Lane, Orlando, Florida 32809. Sequiam desires to sell to ▇▇▇▇▇▇▇▇, ▇▇▇ ▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇ ▇▇ ▇▇▇▇▇ase from Sequiam, an exclusive license to use all of the assets used in or useful to the Product Line, including, without limitation, the following: all intellectual property related to the research, development and manufacture of the Q300; Sequiam's names and logos; and Sequiam's trademarks and service marks, and trademark application filed and pending with the USPTO, on the terms and conditions set forth in this Agreement.

  • All notices and other communications under or in connection with this Agreement shall be in writing and shall be deemed given (a) if delivered personally, upon delivery, (b) if delivered by registered or certified mail, return receipt requested, upon the earlier of actual delivery or three days after being so mailed, or (c) if given by telecopy, upon confirmation of transmission by telecopy, in each case to the parties at the following addresses: If to Buyer, addressed to: SEQUIAM EDUCATION, INC.

  • SEQUIAM hereby engages and retains M1 as a Corporate Advisor to perform the Services (as that term is hereinafter defined) and M1 hereby accepts such appointment on the terms and subject to the conditions hereinafter set forth and agrees to use its best efforts in providing such Services.

  • SEQUIAM covenants that it will provide M1 with complete, accurate and truthful information and with all material facts that will enable M1 to assist SEQUIAM in the preparation of due diligence materials and reports that accurately describe SEQUIAM, its financial condition and business operations, and do not contain any misleading information or omissions to state information that would make such materials or reports misleading.

  • SEQUIAM shall keep accurate books of account and records at its principal address covering all transactions relating to the license herein granted.

  • M1 shall not divulge to others, any trade secret or confidential information, knowledge, or data concerning or pertaining to the business and affairs of SEQUIAM, obtained by M1 as a result of its engagement hereunder, except to the extent necessary for M1 to perform its services or as otherwise authorized in writing by SEQUIAM.

  • This Agreement shall inure to the benefit of and be binding upon the parties hereto and their respective successors and assigns; provided, however, that M1 may not assign any or all of M1’s rights or duties hereunder without the prior written consent SEQUIAM, which consent shall not be unreasonably withheld.

  • The NRA and SEQUIAM are and shall remain independent contractors.

  • The Company means save as otherwise defined at Article 6.9 the company intended to be regulated by these Articles and referred to in Article 2;

  • Summit means Summit Healthcare REIT, Inc., a Maryland corporation.
