You have been advised in writing that you have up to forty-five (45) calendar days to consider this Confidential Separation Letter Agreement and General Release (the “Agreement”) and to consult with an attorney prior to the execution of the Agreement.
In consideration of your executing this Release and your satisfaction of such terms and conditions set forth herein and in the Separation Letter, the Company shall compensate you as described in paragraph 2(a) of the Separation Letter.
You further understand and agree that if P&G later discovers that you retained and/or forwarded to yourself P&G property, you will have violated the terms of this Separation Letter & Release, P&G will not be obligated to provide the benefits described in this Letter, and you will be required to return any benefits received under this Separation Letter & Release.
Your cooperation described in this paragraph 4 shall be subject to the maintenance of the indemnification and directors’ and officers’ liability insurance policy described in your Separation Letter.
This Agreement together with the Separation Letter is the complete understanding between me and the Company in respect of the subject matter of this Agreement and supersedes all prior agreements relating to the same subject matter.
