Senior Second Lien Debt definition

Senior Second Lien Debt all Debt of the Loan Parties under the Senior Second Lien Note Documents.
Senior Second Lien Debt means the Senior Second Lien Interim Loans, the Senior Second Lien Exchange Notes and the Senior Second Lien Extended Loans.
Senior Second Lien Debt without duplication, all advances to, and debts, liabilities, obligations, covenants and duties of, any Credit Party arising under any Senior Second Lien Credit Document, whether direct or indirect (including those acquired by assumption), absolute or contingent, due or to become due, now existing or hereafter arising and including interest and fees that accrue after the commencement by or against any Credit Party or any affiliate of any Credit Party of any proceeding under any bankruptcy or insolvency laws naming such party as the debtor in such proceeding, regardless of whether such interest and fees are allowed claims in such proceeding.

  • After repayment in full of the Tranche A Term Loans, the Tranche B Term Lenders may not decline any optional prepayments under Section 2.05(a) but may continue to decline mandatory prepayments under Section 2.05(b) and, subject to any mandatory prepayment provisions under the Asset Backed Credit Facilities or the Senior Second Lien Debt and any Permanent Financing, any Declined Proceeds shall be retained by the Company.
