Senior Leverage definition

Senior Leverage means, on any date, the ratio of (a) Senior Debt on --------------- such date to (b) Annualized EBITDA for the most recently ended fiscal quarter for which financial statements have been delivered in accordance with Section 5.01.
Senior Leverage. Ratio shall mean the ratio of (x)(i) Senior Funded Debt minus (ii) the excess of the cash, cash equivalents and the value of the Marketable Securities of PhyMatrix on a consolidated basis (but excluding Excluded Entities) over $20,000,000 to (y) Cash Flow from Operations for the prior four (4) fiscal quarters.
Senior Leverage means, in respect of any Relevant Period, the ratio of Senior Debt on the last day of that Relevant Period to EBITDA in respect of that Relevant Period.

  • The Borrower shall not permit its Senior Leverage Ratio at any time to exceed 2.75 to 1.00.

  • With respect to any period during which any Permitted Acquisition occurs as permitted pursuant to the terms hereof, for purposes of determining compliance or Pro Forma Compliance with the covenants set forth in Sections 6.11, 6.12, 6.13 and 6.14, the Interest Coverage Ratio, Fixed Charge Coverage Ratio, Leverage Ratio and Senior Leverage Ratio shall be calculated with respect to such periods and such Permitted Acquisition on a Pro Forma Basis.

Senior Leverage mean any of the financial covenants set out in paragraph (a) (Adjusted Leverage) and paragraph (b) (Super Senior Adjusted Leverage) of clause 26.2 (Financial condition) of the Senior Facilities Agreement.
Senior Leverage means the ratio of total debt of Holdings and its Restricted Subsidiaries to their Consolidated EBITDA.   • First Lien Net Leverage Ratio means, with respect to any Test Period, the ratio of (i) Consolidated Total Indebtedness secured on a first lien basis, net of Unrestricted Cash, as of the last day of such Test Period, to (ii) Consolidated EBITDA for such Test Period.

  • Leverage means the aggregate amount of indebtedness of the Company for money borrowed (including purchase money mortgage loans) outstanding at any time, both secured and unsecured.
